TERMS OF SERVICE: RATIO READY

This Terms of Service ("Agreement") is a legally binding contract between Your Brand Assistant LLC (dba "RatioReady") and you, the User. This Agreement governs your use of the RatioReady website, the RatioReady REST API, and all associated image-processing services.

1. Eligibility and Competitive Restriction

1.1 Professional Use Only

RatioReady is a professional tool for e-commerce and Print-on-Demand (POD) sellers. You must be at least 18 years old to use this Service.

1.2 Strict Prohibition on Competitors

Access to the Service is strictly prohibited for any individual or entity that is a direct competitor of RatioReady or Elistit. This includes employees, contractors, or agents of competing AI-image processing or Etsy-automation platforms.

1.3 Competitive Benchmarking

Accessing the Service to monitor performance, map API endpoints, or "scrape" processing logic for the purpose of developing a competing product constitutes a material breach and unauthorized access to a protected computer system under the Computer Fraud and Abuse Act (CFAA).

2. The Service & AI Transparency (EU AI Act 2026)

2.1 AI Disclosure

In accordance with Article 50 of the EU AI Act, RatioReady discloses that it utilizes Artificial Intelligence (AI) and Machine Learning (ML) to perform image upscaling, noise reduction, and aspect-ratio transformations.

2.2 Synthetic Content Marking

You acknowledge that RatioReady may embed machine-readable metadata (e.g., C2PA headers or invisible watermarking) into generated assets to indicate they have been "AI-manipulated" or "AI-generated" as required by global safety standards.

2.3 No Model Training

RatioReady warrants that your uploaded images and final outputs are not used to train foundational AI models. Your creative assets are processed in a secure, isolated volatile environment.

3. Proprietary Rights & Trade Secrets

3.1 The Production Pipeline

You acknowledge that the specific arrangement, mathematical ratios, and multi-step logic used to convert a single upload into a 300 DPI multi-ratio asset set is a protected trade secret.

3.2 No Reverse Engineering

You shall not, and shall not permit others to:

1. Decompile, disassemble, or attempt to derive the source code of the RatioReady engine.
2. Use "adversarial prompting" or "parameter sniffing" to extract the specific AI upscaling weights or configuration settings.
3. Use the RatioReady API to create a "wrapper" or "cloned" service that resells our processing logic to third parties.

4. Credit System & Financial Terms

4.1 Creative Credits

RatioReady operates on a credit-based system. Credits are consumed at the moment a processing job is successfully initiated.

4.2 Expiration

Credits are valid for 180 days from the date of purchase. Unused credits expire after this period and are non-refundable.

4.3 Merchant of Record

All financial transactions are managed by Fungies Inc. Their terms apply to all billing and tax (VAT/Sales Tax) compliance.

4.4 No-Refund Policy

Due to the high-compute GPU costs incurred instantly upon processing, all sales are final. We provide a trial/free credit tier for you to evaluate the quality before purchasing.

5. API Usage and Automation

5.1 API Key Responsibility

You are solely responsible for the security of your API keys. Any activity performed via your key is deemed to be your activity.

5.2 Middleware Liability

If you use third-party automation tools (e.g., Make.com, n8n, Zapier), RatioReady is not liable for data leaks, latency, or "looping" errors occurring within those third-party platforms.

5.3 Rate Limiting

To ensure stability for all users, we enforce strict rate limits. Attempts to bypass these limits via multiple accounts or IP-masking will result in a permanent ban.

6. Content Data & Privacy

6.1 Temporary Processing

Your images are stored in our secure Germany-based (EU) servers for a maximum of 24 hours to facilitate download. After 24 hours, all assets (including ZIP archives) are permanently purged from our infrastructure.

6.2 Data Erasure

You may request the deletion of your account and metadata at any time by contacting [email protected].

7. Limitation of Liability & Print Disclaimer

7.1 Technical Disclaimer

AI upscaling is a probabilistic process. RatioReady does not guarantee that upscaled images will be "perfect" or free of artifacts.

7.2 Test Print Requirement

You are strictly required to perform a test print of any RatioReady-generated file before commencing a large-scale production run. RatioReady is not liable for costs associated with physical print errors, ink usage, or shipping losses.

7.3 Damages Cap

In no event shall Your Brand Assistant LLC's total liability exceed the amount paid by you to RatioReady in the three (3) months preceding the claim.

8. Security & Enforcement

8.1 Bot Detection

We utilize Cloudflare Bot Management and internal "Honeypot" API endpoints.

8.2 Automatic Termination

Any account identified as a bot or found to be hitting unauthorized "back-door" endpoints will be immediately terminated. We reserve the right to withhold any remaining credit balance as liquidated damages for the security breach.

9. Governing Law & Arbitration

This Agreement is governed by the laws of the State of Wyoming, USA. Any dispute arising from this Agreement shall be resolved through binding arbitration in Sheridan, Wyoming, except that we may seek injunctive relief in any court of competent jurisdiction for a breach of Intellectual Property or Trade Secret clauses.

10. Amendments

We reserve the right to update these terms to reflect changes in AI regulations (e.g., updates to the EU AI Act). Your continued use of the Service after such changes constitutes acceptance.
